End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User") and ProEdge ("Company") for the use of ThermalVision AI desktop software ("Software").

1. License Grant

Subject to the terms of this Agreement, ProEdge grants you a non-exclusive, non-transferable, perpetual license to install and use one copy of the Software on a single computer ("Single-Seat License"). This license is for your personal or internal business use only.

2. License Key

Upon purchase, you will receive a unique license key in the format TVAI-XXXXX-XXXXX-XXXXX-XXXXX-XXXXX. This key may be activated on one machine only. License keys are non-transferable and may not be shared, sold, or redistributed.

3. Restrictions

You may not:

  • Copy, modify, or distribute the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Rent, lease, lend, or sublicense the Software
  • Use the Software to provide services to third parties (SaaS use)
  • Remove or alter any proprietary notices or labels
  • Share your license key with others or activate it on multiple machines

4. Intellectual Property

The Software is protected by copyright laws and international treaties. ProEdge retains all intellectual property rights in the Software. This Agreement does not grant you any rights to trademarks or service marks of ProEdge.

5. AI-Generated Content

The Software uses artificial intelligence to analyze thermal images and generate reports. AI-generated analysis, severity ratings, and recommendations are provided as decision-support tools only and do not constitute professional engineering advice. See our AI Disclaimer for full details.

6. Updates

Licensed users are entitled to free software updates for the lifetime of the product. ProEdge reserves the right to discontinue updates at any time without notice, but your perpetual license to use the last available version remains valid.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. PROEDGE DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

8. Limitation of Liability

IN NO EVENT SHALL PROEDGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, INCLUDING BUT NOT LIMITED TO DAMAGES ARISING FROM RELIANCE ON AI-GENERATED ANALYSIS OR RECOMMENDATIONS.

9. Termination

This Agreement is effective until terminated. ProEdge may terminate this Agreement if you fail to comply with any term. Upon termination, you must destroy all copies of the Software and your license key will be deactivated.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
